Plain language summary: These terms apply to everyone who uses Pario — employers who enroll their workforce, employees who participate in the imaging benefit, imaging centers in our network, and visitors to our website. The most important things: Pario is not a health insurance product, HSA rewards are subject to your employer's program terms, and any disputes are resolved in Florida under Florida law.

1. Acceptance of Terms

By accessing or using the Pario website at getpario.com, enrolling in the Pario imaging benefit program, or entering into a Pario employer services agreement, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference.

If you are using Pario on behalf of an organization — such as a self-insured employer — you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

If you do not agree to these Terms, do not use our services.

2. Description of Services

Pario provides an employer imaging benefit platform that uses electronic health record interoperability standards (Epic FHIR R4 API) to detect when enrolled employees have received imaging orders from their physicians. Upon detection, Pario identifies lower-cost, ACR-accredited imaging facilities in the employee's area and sends the employee a notification with facility options and an associated HSA reward offer.

Pario's services include:

  • Imaging order detection via FHIR R4 API integration with participating health systems
  • Employee SMS outreach with facility options and reward information
  • Care navigator services to assist with appointment scheduling
  • HSA reward deposit processing upon confirmed appointment
  • Employer analytics dashboard showing aggregate program performance
  • Imaging center network management and ACR accreditation verification
What Pario is not: Pario is not a health insurance product, a health plan, a third-party administrator, a pharmacy benefit manager, or a provider of medical advice. Pario does not direct, control, or guarantee the clinical care provided by any imaging facility in its network.

3. Eligibility

Employers

Pario's employer services are available to self-insured employers with 150 or more benefits-eligible employees. By entering into an employer services agreement, you represent that your organization is self-insured or has the authority to direct imaging benefit incentives under your health plan.

Employees

Employee enrollment in the Pario imaging benefit is available to individuals who are enrolled in a participating employer's health plan and are 18 years of age or older. Enrollment requires individual consent to receive imaging order notifications via FHIR R4 API, which employees provide during the enrollment process.

Imaging center partners

Imaging centers may apply to join the Pario network if they hold current ACR accreditation, are independently owned and operated (not hospital-owned or health-system-affiliated), accept major commercial insurance, and meet Pario's scheduling availability standards.

Website visitors

Use of getpario.com is available to anyone. You must be 18 or older to submit a demo request, contact form, or imaging center application.

4. Employer Agreement

Business Associate Agreement

Before Pario can receive Protected Health Information on behalf of enrolled employees, you must execute a signed Business Associate Agreement (BAA) with Pario as required under HIPAA. Services will not commence until a BAA is in effect.

Roster and enrollment data

You agree to provide Pario with accurate employee roster data including, at minimum, employee name, date of birth, zip code, and health plan enrollment status. You are responsible for notifying Pario promptly of changes to enrolled employee status, including terminations, leaves of absence, and plan changes.

HSA reward funding

Employers are responsible for funding the HSA reward pool in advance of or concurrent with program launch, in accordance with the reward schedule agreed upon in your employer services agreement. Pario will not issue rewards to employees unless adequate funds are available.

Performance-based fees

Pario's fees are based solely on documented savings delivered. The specific fee percentage and calculation methodology are set forth in your employer services agreement. No fee is charged for imaging events that do not result in a confirmed steerage conversion.

Employer obligations

You agree to:

  • Accurately represent the Pario program to employees in enrollment communications
  • Not represent Pario as providing medical advice or clinical recommendations
  • Comply with all applicable federal and state laws governing employee benefits and health plan administration
  • Notify employees of their right to opt out of the program at any time
  • Not use aggregate program data to identify or make decisions about individual employees

5. Employee Enrollment & Participation

Voluntary enrollment

Employee participation in the Pario imaging benefit is entirely voluntary. Employees may enroll in or opt out of the program at any time without affecting their eligibility for any other employer benefit.

Authorization

By enrolling, employees authorize Pario to receive imaging order notifications on their behalf through their health system's FHIR R4 API. This authorization is governed by the 21st Century Cures Act (45 CFR § 170.315(g)(10)) and can be revoked at any time through the employee's EHR patient portal or by contacting Pario at privacy@getpario.com.

SMS communications

By providing a mobile phone number at enrollment, employees consent to receive SMS messages from Pario relating to imaging order notifications, facility options, reward offers, and appointment confirmations. Standard message and data rates may apply. Employees may opt out of SMS communications at any time by replying STOP to any Pario message.

Program participation

Employees are under no obligation to choose a Pario-recommended facility. Declining a Pario offer (by replying SKIP or not responding) has no effect on an employee's coverage for imaging services through their health plan. Employees retain full access to all in-network providers under their plan regardless of Pario participation.

Accurate information

Employees agree to provide accurate information during enrollment and to promptly notify their employer's HR department if their contact information or health plan status changes.

6. Imaging Center Network Partners

Network participation

Imaging centers admitted to the Pario network agree to accept booking calls from Pario care navigators, maintain current ACR accreditation for all modalities offered to Pario-referred patients, and accept commercial insurance from referred patients in the same manner as any other patient.

No exclusivity

Network participation is non-exclusive. Imaging centers may participate in other employer programs, reference pricing arrangements, or steerage networks simultaneously. Pario does not require exclusivity as a condition of network membership.

No referral fee

Pario does not charge imaging centers a referral fee, network access fee, or any other fee as a condition of receiving patient referrals. Imaging centers are compensated solely by the patient's insurance, through their normal billing process.

Accreditation verification

Pario reserves the right to verify ACR accreditation status at any time and to remove facilities from the network immediately if accreditation lapses or if patient experience falls below Pario's service standards. Pario will notify affected facilities in writing before removal except in cases where immediate removal is necessary to protect patient safety or plan interests.

No employment relationship

Network participation does not create an employment, agency, joint venture, or partnership relationship between Pario and any imaging center. Imaging centers are independent businesses and Pario exercises no control over their clinical practices, staffing, or operations.

7. HSA Rewards

HSA rewards are offered by participating employers through the Pario platform as an incentive for employees to choose lower-cost imaging facilities. Rewards are funded by employers, not by Pario.

  • Reward amounts vary by employer, imaging modality, and the specific facilities offered
  • Rewards are deposited to the employee's Health Savings Account (HSA) within 24 hours of confirmed appointment at a Pario-recommended facility
  • Rewards are only issued upon confirmed appointment — not upon receiving the Pario offer or expressing intent to schedule
  • If an appointment is cancelled before the scan occurs, Pario reserves the right to reverse the reward deposit
  • Rewards are subject to the terms of the employee's HSA and applicable IRS rules governing HSA contributions
  • Pario does not provide tax advice. Employees should consult a tax professional regarding the tax treatment of HSA deposits received through the program
No guarantee of reward availability: Reward availability depends on employer funding. If an employer's reward pool is depleted or if the employer terminates the program, future rewards may not be available. Pario will notify enrolled employees if reward availability changes materially.

8. HIPAA & Health Data

Pario operates as a HIPAA Business Associate for enrolled employees under signed BAAs with participating employers. Our handling of Protected Health Information (PHI) is governed by HIPAA, our BAAs, and our Privacy Policy.

Key commitments:

  • Pario uses PHI only for the purposes specified in its BAA with your employer and its Privacy Policy
  • Pario does not sell PHI or use it for any purpose unrelated to operating the imaging benefit program
  • Pario does not share individual employee health data with employers — only aggregate, de-identified program metrics
  • Employees may request access to, correction of, or deletion of their PHI by contacting privacy@getpario.com
  • In the event of a breach of unsecured PHI, Pario will notify affected employers and individuals as required by the HIPAA Breach Notification Rule

9. Acceptable Use

You agree not to use Pario's services or website to:

  • Violate any applicable federal, state, or local law or regulation
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Submit false or misleading information, including false enrollment data or fraudulent reward claims
  • Attempt to gain unauthorized access to Pario's systems, data, or other users' accounts
  • Interfere with or disrupt the integrity or performance of Pario's services
  • Reverse engineer, decompile, or otherwise attempt to derive source code from Pario's platform
  • Use automated means (bots, scrapers, crawlers) to access or interact with Pario's website or platform without express written permission
  • Use the platform to transmit spam, malware, or any harmful or unauthorized content

Pario reserves the right to suspend or terminate access to any user who violates these acceptable use requirements, with or without prior notice.

10. Intellectual Property

Pario's property

All content on getpario.com — including text, design, code, graphics, logos, and trademarks — is owned by or licensed to Pario and protected by applicable intellectual property laws. The Pario name and logo are trademarks of Pario. Nothing in these Terms grants you any right to use Pario's trademarks, trade names, or branding without express written permission.

Limited license to users

Pario grants you a limited, non-exclusive, non-transferable, revocable license to access and use getpario.com for its intended purpose. This license does not include the right to reproduce, distribute, create derivative works from, or commercially exploit any Pario content.

Your content

Any information, feedback, or content you submit to Pario — including demo requests, contact form submissions, and imaging center applications — may be used by Pario to improve its services. You retain ownership of content you submit, but grant Pario a perpetual, royalty-free license to use, store, and process that content for service-related purposes.

Employer data

Employer roster data, plan configuration, and program outcome data remain the property of the employer. Pario is licensed to use this data solely to operate the imaging benefit program and will not use it for any other purpose or share it with third parties except as required to deliver the service or as required by law.

11. Disclaimers

No medical advice: Pario does not provide medical advice, diagnosis, or treatment recommendations. Facility recommendations are based solely on cost and ACR accreditation data. All medical decisions — including where to receive imaging — should be made in consultation with a licensed healthcare provider. Pario's recommendations do not supersede physician orders or clinical judgment.

No guarantee of savings

Pario's savings projections and calculator outputs are estimates based on historical data and modeled assumptions. Actual savings will vary based on employee enrollment, imaging utilization, local market pricing, and individual employee choices. Pario does not guarantee any specific level of savings.

No guarantee of facility availability

Pario does not guarantee that a lower-cost ACR-accredited facility will be available for every imaging order or in every geographic area. In cases where no meaningful savings opportunity exists, Pario will not contact the employee, and the employee should schedule through their normal process.

Services provided "as is"

Pario's services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Pario does not warrant that its services will be uninterrupted, error-free, or free of harmful components.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Pario and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost savings, loss of data, or loss of goodwill — arising out of or in connection with your use of Pario's services, even if Pario has been advised of the possibility of such damages.

Pario's total cumulative liability to any employer for claims arising out of or relating to its services shall not exceed the total fees paid by that employer to Pario in the twelve months preceding the claim. Pario's total cumulative liability to any employee or website visitor shall not exceed $100.

These limitations apply to all claims, whether based in contract, tort, statute, or any other legal theory, and whether or not Pario has been told of the possibility of such damage.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, Pario's liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Pario and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of Pario's services in violation of these Terms
  • Your breach of any representation or warranty made in these Terms
  • Your violation of any applicable law or third-party right
  • Any employer's failure to accurately communicate the Pario program to employees
  • Any fraudulent reward claims submitted through your account

Pario reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with Pario's defense of such claims.

14. Termination

By Pario

Pario may suspend or terminate your access to its services at any time, with or without cause, with or without notice. Grounds for termination include violation of these Terms, non-payment of fees, fraudulent activity, or actions that create legal or regulatory risk for Pario or its users.

By employers

Employers may terminate their services agreement in accordance with the termination provisions set forth in their employer services agreement. Pario will notify enrolled employees of program termination with at least 14 days' advance notice where practicable.

By employees

Employees may unenroll from the program at any time by contacting privacy@getpario.com. Unenrollment takes effect within 5 business days and terminates future imaging order monitoring. Previously earned rewards are unaffected.

Effect of termination

Upon termination, your right to use Pario's services ceases immediately. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

15. Disputes & Governing Law

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

Dispute resolution

Before initiating any formal legal proceeding, you agree to contact Pario at legal@getpario.com and attempt to resolve the dispute informally. Pario will attempt to resolve the dispute within 30 days of receiving written notice.

Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of Pario's services — other than claims for injunctive or equitable relief — shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in Duval County, Florida. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to bring or participate in a class action, class arbitration, or representative action against Pario.

Exceptions

Notwithstanding the arbitration agreement, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration. Employer services agreements may include separate dispute resolution provisions that supersede this section for employer parties.

16. Changes to These Terms

Pario reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify affected users by email at least 14 days before changes take effect.

For enrolled employees, material changes to Terms will be communicated to the email address on file. For employers, material changes will be communicated to the designated account contact.

Your continued use of Pario's services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the services before the effective date.
